1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Fluit.io ("Service"). By using Fluit, you agree to these Terms.

If you use Fluit on behalf of an organization, you represent that you have authority to bind that organization.

2. Service Overview

Fluit provides an operating system for video editors and agencies, including file management, review and approval, project management, collaboration, contracts, invoicing, and payment workflows.

We may add, modify, or remove features over time to improve product quality, security, and performance.

3. Accounts and Access

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate information and keep it reasonably up to date.
  • You are responsible for activity under your account and workspace, including invited users.
  • We may suspend access if we detect abuse, security risks, fraud, or material Terms violations.

4. Acceptable Use

  • Do not upload or distribute unlawful, infringing, malicious, or harmful content.
  • Do not attempt unauthorized access, reverse engineering, scraping, or interference with the Service.
  • Do not bypass usage controls, seat limits, or technical protections.
  • Do not use Fluit to send spam, phishing, malware, or abusive communications.

5. Content Ownership and License

You retain ownership of your content. You grant Fluit a limited license to host, process, transmit, and display content solely to provide and improve the Service.

You are responsible for ensuring you have rights to upload and share all content in your workspace.

6. Subscriptions, Billing, and Pricing

Paid plans are billed in advance on monthly or annual cycles depending on your selected plan.

Current plan families include Starter, Pro, Team, and Enterprise. Storage and user thresholds vary by plan, and published pricing on the website controls in case of conflict with examples in older documents.

Team and Enterprise plans may include additional storage options as published on the pricing section.

Payments are processed by Stripe. You authorize recurring charges until cancellation.

7. Cancellation and Plan Changes

  • You can cancel anytime from your account settings.
  • Cancellation takes effect at the end of the current billing period unless otherwise required by law.
  • Downgrades or upgrades may change limits and available features in the next billing cycle or immediately, depending on selected options.
  • Fees already paid are non-refundable except where required by law or explicitly stated by Fluit.

8. Availability and Support

We aim for high availability, but uninterrupted service is not guaranteed. Planned maintenance, security events, or provider outages may temporarily affect access.

Support channels and response expectations vary by plan level and current support policy.

9. Privacy and Security

Your use of Fluit is also governed by our Privacy Policy. We use commercially reasonable administrative, technical, and organizational measures to protect user data.

10. Intellectual Property

Fluit and related trademarks, logos, software, and documentation are owned by Fluit or its licensors and protected by applicable laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works from the Service.

11. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind.

Fluit is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits, data, or goodwill.

Our aggregate liability for claims related to the Service is limited to the fees paid by you to Fluit in the 12 months before the claim arose.

12. Indemnification

You agree to indemnify and hold Fluit harmless from claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law principles.

Disputes will be resolved through binding arbitration unless prohibited by applicable law.

14. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated through product notices, website updates, or email where appropriate.

Your continued use of Fluit after changes become effective constitutes acceptance of the updated Terms.
